The ties are formed from four pots, creating ties consisting of first against third in the UEFA cup groups, and second in the UEFA Cup groups against the eight third-placed Champions League teams. In the second knock-out round, the winners from each of the former ties will play the winners from one of the latter ties. |

The match calendar is as follows:

Tiebreakers, if necessary, are applied in the following order:
- Cumulative goal difference in group matches.
- Total goals scored in group matches.
- Away goals scored in group matches.
- Higher UEFA coefficient entering the competition.

Qualification scenarios:
- All of the teams that have a match remaining, except CSKA Sofia, can secure places in the final 32 with a win.
- Should CSKA Sofia beat Monaco by one goal, while Slavia beats Hamburg by one goal, Slavia would win the group, while Monaco, Hamburg and CSKA Sofia would be tied at 6 points. Monaco would win the tie by virtue of having a +2 goal difference, while Hamburg and CSKA Sofia would be at 0. Should Hamburg score 2 more goals in their loss than CSKA Sofia did in their win (eg. a CSKA Sofia 1-0 win and a Hamburg 3-4 loss), this would put Hamburg ahead on goals scored. CSKA Sofia would then be eliminated, despite winning their last match.
- Monaco and Hamburg will advance with a draw.
- Slavia will advance with a draw as long as CSKA does not defeat Monaco.
- Slavia can still advance with a loss if:
- They lose by 3 or fewer goals to Hamburg, and
- CSKA lose, or CSKA draw while failing to exceed Slavia's goal total against Hamburg by 2 or more goals.
- If CSKA draw while Slavia lose, both teams will be level on points with Viking. The tiebreaker scenarios are:
- Viking cannot win. At the very least, CSKA will be ahead of Viking on goal difference (–1 for CSKA, which would not change in the event of a draw, versus –4 for Viking).
- If Slavia lose by more than 1 goal, CSKA will advance on overall goal difference.
- If Slavia lose by 1 goal, they will be level on goal difference with CSKA. The next tiebreaker is total goals scored, followed by total away goals. The winner of the tiebreaker will depend on the goal differential between CSKA and Slavia in their final matches:
- CSKA score at least 3 more goals than Slavia: CSKA advances on total goals.
- CSKA score 2 more goals than Slavia: CSKA advances on away goals. Such a result will leave CSKA and Slavia level on total goals. Since CSKA and Slavia enter their final matches with 2 away goals each, and both sides are away, such a result will leave CSKA with 2 more away goals than Slavia.
- CSKA fail to score 2 more goals than Slavia: Slavia advances on total goals, since CSKA will not have made up their current deficit of 2 goals scored.
- Viking can only qualify for the final 32 if both of the following happen:
- Slavia lose to Hamburg by more than 3 goals. If Slavia lose, they would be level on points with Viking. However, a loss by 2 or fewer goals would leave Slavia ahead on goal difference. A loss by 3 goals would leave the clubs equal on goal difference, but Slavia would then win on goals scored (a minimum of 6, against 3 for Viking).
- CSKA lose to Monaco. A CSKA draw with Monaco plus a Slavia loss to Hamburg would put all three teams in a tie, and Viking cannot win the tiebreaker (see above).

Qualification scenarios:
- Lokomotiv have clinched a spot in the final 32. Two of the clubs chasing them, Palermo and Brøndby, will play one another in their final match; therefore, only one of the two can possibly overtake Lokomotiv in the standings. A third team, Maccabi Petach Tikva, cannot catch Lokomotiv (or any other team) on points. This means that Lokomotiv can finish no worse than third.
- Espanyol will advance with a win or draw against Maccabi Petach Tikva. A loss will also be sufficient if Brøndby lose.
- Palermo will advance with a win or draw against Brøndby.
- Brøndby will advance with a win.
- If Espanyol lose and Brøndby draw, the two clubs would be level on points for the final qualifying spot.
- If Espanyol lose by more than 1 goal, Brøndby would advance on goal difference.
- If Espanyol lose by 1 goal, the clubs will be level on goal difference. For Espanyol to advance in this situation, they must do one of the following:
- Score at least 3 goals more against Petach Tikva than Brøndby do against Palermo. This will give Espanyol the edge on goals scored.
- Lose 3-2 while Brøndby and Palermo draw 0-0. This will leave Espanyol and Brøndby level on goals scored and away goals scored (the clubs are currently level 2-2 on away goals), which would put Espanyol through by virtue of a higher UEFA coefficient. NB: If Brøndby have a scoring draw and Espanyol score 2 goals more, the teams would be level on goals scored. However, since Brøndby are away and Espanyol are home, a Brøndby goal would put them ahead on away goals.

Qualification scenarios:
- Steaua have clinched a spot in the final 32. Two of the chasing clubs, Lens and Sampdoria, play each other, and only one can possibly catch Steaua in the standings. Halmstad, in last place, have played all their games. Therefore, Steaua can finish no worse than third.
- All three clubs that are fighting for qualification will qualify with a win in their last match.
- Sampdoria and Hertha will both qualify with a draw.
- Sampdoria can qualify with a loss if Hertha also lose:
- If Hertha's margin of defeat is greater than or equal to Sampdoria's margin of defeat, Sampdoria are qualified on goal difference.
- If Hertha lose by one goal less than Sampdoria, the two teams will be tied on goal difference. The tie will then be resolved on goals scored, which Sampdoria currently lead 3 to 1. Should the amount of goals scored be tied, Sampdoria will be qualified on away goals scored. Hertha have played both their away matches, and have scored fewer goals than Sampdoria away (1-3).
- If Hertha lose by two or more goals less than Sampdoria, Sampdoria will be eliminated.
- Hertha can qualify with a loss if any of the following happens:
- Sampdoria beat Lens.
- Sampdoria lose by 2 or more goals to Lens than what Hertha lose by, or by one more goal than what Hertha lose by, and Hertha manages to have scored more goals than Sampdoria (see above for explanation).
- Lens can qualify with a draw, if Hertha lose.

Qualification scenarios:
- Marseille & Levski have clinched a spot in the round of 32, since no other team but Dinamo can possibly overtake them on points:
- Heerenveen are on 2 points with one match remaining, so they can only reach a maximum of 5 (Marseille and Levski have 6).
- CSKA Moscow are on 4 points and have completed all their games.
- Dinamo will advance by defeating Marseille.
- A draw will also be enough for Dinamo as long as Heerenveen do not defeat Levski.
- If Dinamo draw and Heerenveen win, the two will be level on 5 points. The first tiebreaker is goal difference.
- If Heerenveen win by 2 goals or more, they advance.
- If Heerenveen win by 1 goal, the two will be level on goal difference, making the next tiebreaker total goals. Heerenveen can only advance if:
- they score at least 2 more goals in their win than Dinamo do while drawing, which would put Heerenveen through on total goals, or
- they win 1–0 and Dinamo and Marseille draw 0–0. This would leave Heerenveen and Dinamo level on total goals and away goals, giving Heerenveen the edge on UEFA coefficient. A Dinamo score would give them an advantage in away goals, since Heerenveen have played both their away games and failed to score in either one.
- CSKA can only advance if both of the following happen:
- Heerenveen fail to win.
- Dinamo lose:
- by 2 or more goals, or
- by 1 goal, if the scoreline is 1–0 or 2–1. This would leave CSKA ahead on total goals. Dinamo would win the tiebreaker on total goals if they score 3 or more goals, and would win on away goals if the scoreline is 3–2, as Dinamo are away to Marseille and CSKA did not score an away goal.

- Zenit and Sevilla can be caught only by Bolton and thus progress into last 32.
- A draw will be enough for Bolton to progress.
- Besiktas can clinch the third position only if they win and Bolton lose. In this case Besiktas and Bolton will be level on points. Tiebreakers are applied in the following order:
- Goal difference (Besiktas now have -3, Bolton +1).
- Goals scored (Besiktas have 2, Bolton 3).
- Away goals (Bolton have 2 with no more away matches; Besiktas have none, but are away to Vitória).
- UEFA coefficient (Besiktas would advance).

The top 3 teams from each group are joined by the 8 teams which came third in their group in the Champions League, i.e. Club Brugge, FC Thun, Udinese, Lille, Schalke 04, Rosenborg, Real Betis, and Artmedia Bratislava. The draw takes place on 16 December 2005. The first leg takes place on 15/16 February 2006. The second on 23 February 2006.
The ties are formed from four pots, creating ties consisting of first against third in the UEFA cup groups, and second in the UEFA Cup groups against the eight third-placed Champions League teams. In the second knock-out round, the winners from each of the former ties will play the winners from one of the latter ties.
